These Terms of Service ("Terms") govern your access to and use of Orvel CRM (the "Service"), a customer relationship management platform for auto transport brokers, operated by Orvel CRM ("Orvel," "we," "us"). By creating an account or using the Service, you agree to be bound by these Terms on behalf of yourself and, if applicable, the company you represent. If you do not agree, do not use the Service.
Orvel CRM provides tools for auto transport brokers to manage leads, quotes, orders, carriers, and related business records, including integrations that assist with posting loads to third-party load boards. We may add, change, or remove features at any time. The Service depends in part on third-party platforms (including load boards and infrastructure providers); we do not control those platforms and are not responsible for their availability, policies, or actions taken against your accounts on them.
You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity under your account and for the actions of users you invite to your company workspace. Notify us promptly at support@orvelcrm.com if you suspect unauthorized access.

You retain all rights to the business data you enter into the Service, including broker, customer, carrier, and order records ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and support the Service. Customer Data is stored on infrastructure provided by Supabase and is logically isolated per company. You are responsible for the accuracy and lawfulness of Customer Data, including having any consents required to store your customers' personal information. Our handling of personal information is described in our Privacy Policy.
Use of the Service may require payment of subscription fees as agreed at signup or in an order form. Fees are non-refundable except where required by law or expressly agreed in writing. We may change pricing with reasonable advance notice; changes apply at your next renewal.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT LOADS POSTED THROUGH INTEGRATIONS WILL BE ACCEPTED, DISPLAYED, OR ACTED UPON BY ANY THIRD-PARTY LOAD BOARD OR CARRIER.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORVEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You will indemnify and hold harmless Orvel from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law or third-party rights.
You may stop using the Service at any time. We may suspend or terminate your access for material breach of these Terms, non-payment, or where required by law, and will use reasonable efforts to notify you. Upon termination, your right to use the Service ends; upon written request within thirty (30) days of termination, we will make a reasonable export of your Customer Data available, after which we may delete it. Sections that by their nature should survive termination (including Sections 5, 7, 8, 9, and 11) survive.
These Terms are governed by the laws of the State of [YOUR STATE], without regard to conflict-of-laws principles. The state and federal courts located in [YOUR STATE] will have exclusive jurisdiction over any dispute arising out of these Terms, and each party consents to venue there.
We may update these Terms from time to time. Material changes will be communicated through the Service or by email, and continued use after changes take effect constitutes acceptance. The "Last updated" date above reflects the current version.
